These Terms of Use (“Terms”) govern your access to and use of logicfreshdirect.com (the “Website”) and your submission of information through the Website. The Website is operated by Logic Fresh Direct, Inc. (“Logic Fresh Direct,” “we,” “us,” or “our”). By using the Website or submitting an account application, you agree to these Terms. If you do not agree, do not use the Website or submit an application.

1 Business Use and Authority

The Website is intended for businesses and individuals acting on behalf of businesses. You must be at least 18 years old and have authority to provide information and accept these Terms for the business you represent. You are responsible for ensuring that the information and documents you submit are authorized, accurate, current, and complete.

2 Informational Purpose

The Website provides general information about Logic Fresh Direct, our flowers, sourcing, logistics, and business-account process. Website content does not constitute a binding offer, guarantee of availability, quotation, or commitment to sell or deliver any product. Product availability, varieties, colors, grades, stem lengths, quantities, pricing, freight costs, and delivery schedules may change and are confirmed separately for each transaction.

3 Account Applications

Submitting an account application does not create an account, guarantee approval, establish credit terms, or obligate Logic Fresh Direct to accept an order. We may approve, decline, suspend, or request additional information concerning an application or account, subject to applicable law.

You authorize us to verify the business information and trade references you provide. If you request credit terms, you authorize us to obtain and review appropriate business-credit information for the purpose of evaluating and managing the commercial account. Any personal consumer-credit review or personal guarantee, if required, will be subject to separate documentation and authorization.

4 Required Documents and Tax Information

Applicants may be required to provide a current resale certificate, tax-exemption certificate, business registration information, or other documents reasonably necessary to verify the business and its tax status. Identification for an owner or authorized representative may be requested when reasonably necessary for verification, fraud prevention, or credit review.

You are responsible for providing accurate and current tax documentation, using resale or exemption certificates only for eligible purchases, and notifying us promptly if any certificate expires, is revoked, or becomes inaccurate. You are responsible for taxes, duties, fees, and assessments that apply when a valid exemption does not apply.

5 Account Approval and Credit Terms

Approved accounts may be designated as prepaid, COD, or eligible for credit terms. Credit limits, payment periods, acceptable payment methods, deposits, and other conditions are determined separately and may be changed, suspended, or withdrawn as permitted by law. Credit terms are effective only when confirmed by Logic Fresh Direct in writing.

Account holders must notify us promptly of changes to ownership, legal name, address, tax status, billing contacts, payment information, or other material application information. Account access and privileges may not be transferred without our written approval.

6 Orders Pricing and Availability

Account approval does not guarantee product availability. Orders are subject to separate confirmation and any applicable quotation, invoice, order confirmation, Payment Methods and Terms, and Credits and Claims Policy. If there is a conflict between these Terms and a written order-specific document issued by Logic Fresh Direct, the order-specific document controls for that transaction.

Flowers and agricultural products are naturally variable and perishable. Images and descriptions are provided for general reference, and reasonable variations in color, size, maturity, appearance, and packing may occur.

7 Shipping Delivery and Claims

Shipping, freight, pickup, delivery, receiving, inspection, and claim requirements are governed by the applicable order documents and our Credits and Claims Policy. Customers are responsible for providing complete and accurate delivery instructions, receiving availability, contact information, appointment requirements, dock or gate information, and any special handling instructions.

The customer must inspect shipments promptly and submit any claim within the time and manner stated in the Credits and Claims Policy. Delays or failures caused by carriers, customs, weather, agricultural conditions, governmental actions, labor disruptions, airport conditions, or other events beyond our reasonable control may affect availability and delivery.

8 Acceptable Use

You agree not to:

  • Use the Website for unlawful, fraudulent, misleading, or abusive purposes.
  • Submit false information, forged documents, unauthorized identification, or information belonging to another person or business without authority.
  • Attempt to gain unauthorized access to the Website, forms, systems, accounts, or data.
  • Introduce malicious code, disrupt Website operation, evade security controls, or conduct automated scraping or excessive requests without written permission.
  • Copy, modify, publish, sell, or exploit Website content except as allowed by law or with our written permission.
  • Use Logic Fresh Direct names, logos, images, or materials in a way that suggests endorsement or affiliation without authorization.

9 Intellectual Property

The Website and its content, including text, graphics, photographs, logos, design, layout, and other materials, are owned by or licensed to Logic Fresh Direct and are protected by applicable intellectual-property laws. 11 Website Availability and Disclaimer

We may modify, suspend, or discontinue any part of the Website without notice. To the fullest extent permitted by law, the Website and its content are provided on an “as is” and “as available” basis. We disclaim warranties of merchantability, fitness for a particular purpose, title, noninfringement, uninterrupted availability, accuracy, and freedom from harmful components. 12 Limitation of Liability

To the fullest extent permitted by law, Logic Fresh Direct and its officers, employees, agents, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, business interruption, or loss of goodwill arising from or related to the Website. Our total liability for claims arising solely from use of the Website will not exceed one hundred U.S. dollars (US $100). This limitation does not apply where liability cannot lawfully be limited or excluded.

13 Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Logic Fresh Direct and its officers, employees, and agents from claims, damages, losses, liabilities, and reasonable expenses arising from your misuse of the Website, your violation of these Terms, or information or documents you submit without proper authority. This section does not require indemnification for conduct that cannot legally be indemnified.

14 Suspension and Termination

We may restrict or terminate access to the Website or suspend an account application if we reasonably believe these Terms have been violated, information is false or unauthorized, activity presents a security or fraud risk, or restriction is necessary to protect our business or comply with law. Provisions that by their nature should continue after termination will survive.

15 Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising solely from use of the Website will be brought in a court of competent jurisdiction in Florida, unless applicable law requires otherwise. Transaction-specific agreements may contain separate dispute or venue terms.

16 Changes to These Terms

We may update these Terms from time to time. Revised Terms will be posted on the Website with an updated effective date. Your continued use of the Website after the revised Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by law.

17 Severability and Entire Agreement

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect. These Terms, together with the Privacy Policy and any policies or agreements expressly incorporated for a particular application or transaction, constitute the agreement governing use of the Website. A failure to enforce a provision is not a waiver.
